Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of any software products, subscriptions, and professional engineering services offered by Fentrex Solutions LLP ("Fentrex", "we", "us"), a limited liability partnership registered in India. By purchasing, subscribing to, or engaging any of our offerings, you ("Customer") agree to be bound by these Terms.

2. Software Products & Subscriptions

2.1 Access & Licence

When you purchase a subscription to any Fentrex software product, we grant you a limited, non-exclusive, non-transferable licence to access and use the product for your internal business purposes during the active subscription period. You may not resell, sublicense, reverse-engineer, or redistribute the software without prior written consent.

2.2 Currency

All prices displayed on our website and in our proposals are in United States Dollars (USD) unless explicitly stated otherwise. Applicable taxes are charged on top of listed prices in accordance with Indian and international tax law.

2.3 Subscriptions & Billing

Subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase. Billing renews automatically at the end of each period unless cancelled. You authorise us to charge your payment method on file for all applicable fees.

2.4 Free Trials

Where a free trial is offered, access is granted for the stated trial period at no charge. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged.

2.5 Uptime & Service Availability

We target high availability for all hosted products. Planned maintenance windows will be communicated in advance where possible. We are not liable for downtime caused by factors outside our control, including third-party infrastructure providers.

3. Engineering & Consulting Services

3.1 Scope of Work

Professional services (including technical consulting, full-stack development, AI integration, cloud & DevOps, and architecture audits) are governed by a separate Statement of Work or proposal agreed upon in writing prior to commencement. These Terms apply alongside that agreement.

3.2 Intellectual Property

Upon receipt of full payment for a milestone or engagement, all custom code, designs, and deliverables produced for that milestone are assigned to you. We retain the right to use non-confidential work for portfolio purposes unless you request otherwise in writing.

Any pre-existing tools, libraries, or frameworks we bring to the engagement remain our property. You receive a perpetual licence to use them as part of the delivered system.

3.3 Payment Terms

Invoices for professional services are due within 14 days of issuance. Work may be paused on engagements with overdue balances exceeding 7 days. We reserve the right to charge a 1.5% monthly late fee on balances unpaid beyond 30 days.

4. Refund Policy

4.1 Software Subscriptions

• Monthly plans: No refund for the current billing period. Cancellation takes effect at the end of the current period.
• Annual plans: If you cancel within 7 days of initial purchase and have not materially used the product, you are eligible for a full refund. After 7 days, no refund is issued for the remaining period.
• Service outages: If we fail to meet a stated uptime SLA (where applicable), you may request a prorated credit for the affected period.

4.2 Engineering & Consulting Services

• If Fentrex cancels the engagement before any work begins, you receive a full refund of any amount paid.
• If you cancel after work has started, any prepaid amount is refunded minus the value of work completed at our standard rates.
• Fees for a delivered and accepted milestone are non-refundable.
• Fixed-fee audits and short engagements (under 5 days) are non-refundable once work has commenced.

All refund requests must be sent in writing to hello@fentrex.com. Approved refunds are processed within 14 business days to the original payment method.

5. Cancellation Policy

5.1 Software Subscriptions

You may cancel your subscription at any time from your account settings or by emailing hello@fentrex.com. Your access continues until the end of the current billing period. We do not charge cancellation fees.

5.2 Professional Services

• Project-based engagements: Either party may cancel with 14 days' written notice. You will be invoiced for work completed to the date of cancellation.
• Ongoing retainers: Either party may cancel with 30 days' written notice. Services continue at full capacity during the notice period.

5.3 Termination for Cause

We may suspend or terminate access immediately if you: breach these Terms, fail to pay outstanding invoices after 30 days, misuse our software or deliverables, or engage in abusive or harmful conduct toward our team. No refund is issued on termination for cause.

6. Data & Confidentiality

We treat all client information, codebases, and business data as confidential. We will not share your data with third parties except as required to deliver the agreed service (e.g., cloud infrastructure providers) or where required by law.

For software products, our handling of personal data is described in our Privacy Policy. You are responsible for ensuring your use of our software complies with applicable data protection laws in your jurisdiction.

7. Promotions, Discounts & Trials

From time to time, we may offer promotional pricing, discounts, or extended free trials. Any such promotion is subject to specific terms that will be clearly displayed at the time of the offer. General conditions that apply to all promotions:

• Promotions are valid only for the period and scope stated
• Promotional pricing does not automatically renew unless explicitly stated
• Promotions cannot be combined with other offers unless stated otherwise
• We reserve the right to withdraw or modify a promotion at any time prior to purchase
• Misuse or abuse of promotional offers may result in cancellation of access without refund

8. Legal & Export Restrictions

Our services are provided from India and are subject to Indian law, including the Foreign Exchange Management Act (FEMA) and applicable export control regulations. By purchasing or using our services, you represent and warrant that:

• You are not located in, or a national or resident of, any country subject to sanctions by India, the United Nations, the United States (OFAC), or the European Union
• You are not listed on any prohibited or restricted party list maintained by the Government of India or other applicable authorities
• You will not use our software or services for any purpose prohibited by applicable law, including the development of weapons or surveillance systems
• International payments are processed in accordance with RBI guidelines and applicable FEMA regulations governing export of services from India

We reserve the right to refuse or terminate service to any customer if we have reason to believe these restrictions are being violated.

9. Limitation of Liability

To the maximum extent permitted by law, Fentrex's total liability to you for any claim arising out of or related to these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

10. Governing Law

These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Kerala, India.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page and, for material changes, notify active customers via email. Continued use of our products or services after the effective date constitutes acceptance of the revised Terms.
